This GORE FABRICS BUSINESS PORTAL (“Site”) from which you are accessing these terms and conditions (“Terms of Use”) is created and controlled by W. L. Gore & Associates, Inc. (referred to below collectively as “Gore,” “we,” and “us”).

Please read the below Terms of Use carefully. Your use of the Site (as defined below) is subject to these Terms of Use.

1. Acceptance of Terms. 

By registering for access or using the Site, you agree to these Terms of Use and to any additional rules that we may post on the Site. We may make changes to these Terms of Use (and to any such additional rules) from time to time; we may notify you of such changes by any reasonable means, including by posting the revised version of these Terms of Use on the Site. You can determine when we last changed these Terms of Use by referring to the “LAST UPDATED” legend above. Your access to or use of the Site following changes to these Terms of Use will constitute your acceptance of those changes.

2. Liability for Site Content. 

GORE provides the material (including, without limitation, texts, graphics, banners, imagery, key selling points, marketing materials, videos, logos, and other creative assets) on the Site (“Site Content”) as a resource restricted for licensees and retailers of Gore products. The Site Content may include: (i) marketing assets to download for your communications, (ii) online assets to customize your website and recommendations and ideas about its use and (iii) Brand Guidelines for proper use of Gore brand logo and trademarks. Gore compiles the material on the Site with great care, and ensures that it is regularly updated. Gore does not promise full, uninterrupted or error free operation of the Site and does make no representations, warranties or undertakings about the Site Content (including, without limitation, any as to quality, accuracy, completeness or reliability). In particular with regard to the embeddable web elements Gore does not promise an uninterrupted or error free operation of the embed code once it has been entered into your source code.

3. Access to the Site. 

Unless otherwise specified the Site Content is freely accessible, in particular no login is required for the Site Content Web Elements, Demo Shop and Brand Guidelines. Login is required for the Communication Toolbox and consists of a user name and a password. You can receive login credentials from your Gore Account Manager or by sending us an email to cof_toolbox_eu@wlgore.com for Europe or at cof_toolbox_na@wlgore.com for North America. You agree to treat your login credentials for the Communication Toolbox provided by Gore as confidential and not disclose it to any third party. You hereby agree to indemnify Gore from and against any and all liability, losses, costs, and expenses in connection with any claim arising out of (i) any use of the Site or the Site Content by someone other than you with your login credentials, whether or not authorized by you (ii) any use of the Site or the Site Content by you that is not authorized under these Terms of Use.

Access to the Site Content Gore Fabrics Academy is restricted to authorized users only, and Gore will need to collect certain personal data, such as name, postal address, email address in order to register you as an authorized user and grant you access to the Gore Fabrics Academy. We will share your personal data with a third party service provider, X-Cell AG, Germany for web hosting, data analysis, IT services, and other similar services. Your personal data may be stored and processed in any country where we have facilities and operations. By providing personal data to us, you agree to Gore's use and Gore's sharing of your personal data as set out above and to any additional rules that we may post on this Site.

4. Proprietary Rights. 

The Site Content and structure of the Site are protected by copyright or other intellectual property rights. Except as expressly authorized on this Site, reproduction, modification, dissemination or any other exploitation of the Site Content in any way or form is prohibited. Gore trademarks and associated Gore logos are protected worldwide. Gore trademarks and Gore logos may only be used in conjunction with goods produced by Gore or with the express permission of Gore. The Gore corporate logo can only be used by Gore.

5. Grant of Rights. 

GORE hereby grants to users a limited, non-transferable and non- exclusive and revocable right to (i) access the Site and (ii) use, reproduce, and publicly display the Site Content for its own marketing activities in order to describe and promote the features and benefits of Gore Products and provided that all copyright and other proprietary notices related to the respective material is retained (“Right of Use”). The Right of Use does not include the right to modify or edit the Site Content. Texts may be used in parts if the context is not distorted. Any other use of the Site Content is strictly prohibited. All rights not expressly granted in these Terms of Use are reserved by Gore. Upon Gore’s request at any time, you agree, at Gore’s option, to return or destroy any copies that you have made of the Site Content.

6. Links. 

The Site may provide links to other websites and online resources. We are not responsible for and do not endorse such external sites or resources. Other sites may link to the Site with or without our authorization, and we may block any links to or from the Site.

7. Data Protection.

If you believe in good faith that someone has wrongly filed a notice of copyright infringement against you, the DMCA permits you to send Gore a counter-notice.
